Definitions: In this agreement the terms have the following meanings:
(a) “The Client” means any person, company, partnership, organization or body at whose consent the Technobyte Solutions agrees to provide the products and/or services under the terms of the agreement.
(b) “The Agreement” means the contract between Technobyte Solutions and the Client to which these conditions will apply.
- All symbols, logos, data, content, strategies and other intellectual capital of the Client would be kept strictly confidential. Similarly, the Client would refrain from reproducing or sharing any models, source codes, and software and consultancy information rendered by the Technobyte Solutions with any third party.
- Any additional costs incurred for content sourcing, third-party payments (such as server hosting, Payment Gateway, SMS Gateway etc.), secondary information/data sources, hardware, travel & lodging (if any) or any other head beyond the scope of this offer document will be borne by the Client.
- Payments must be made promptly based on the agreed schedule, which is 50% of the quotation/ total amount at the commencement of the project, 20% of the quotation/ total amount after finalizing the template of the website and remaining30% the quotation/ total amount within 7 days after completion of the project. The web site design project delivery will be completed upon receipt of the full payment associated with delivery.
- Any advances paid towards the project amount by the Client to the Technobyte Solutions are nonrefundable and non-transferable. Technobyte Solutions reserves the rights in good faith to accommodate the amount in full or a part of it in the client’s next project if the client abruptly cancels his ongoing project.
- The client agrees to make available as soon as is reasonably possible to Technobyte Solutions all materials required for completing the site to the agreed standard and within the set deadline.
- The function i.e. listed in the quotation will be delivered to the clients. For any updating in previous features or addition of new features will be charged extra as per our company norms.
- The Technobyte Solutions will not be responsible for any actions taken by the website users based on the information provided on the website.
- Technobyte Solutions will not be liable or become involved in any disputes between the site owner and their clients and cannot be held responsible for any wrongdoing on the part of a site owner.
- The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Technobyte Solutions for inclusion in the web design project are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend Technobyte Solutions and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.
- The website, graphics except the programming code remain the property of Technobyte Solutions until all outstanding accounts are paid in full.
- Whilst every endeavor will be made to ensure that the website and any scripts or programs are free of errors, Technobyte Solutions cannot accept responsibility for any losses incurred due to malfunction, the website or any part of it.
- 1st year website maintenance will be free of cost but it does not include updating or replacing nearly all the text from a page with new text, major page reconstruction, new pages, guest books, discussion webs or any navigation structure changes. Major page code and/or database structural changes will be charged at current rates of Technobyte Solutions. The period of 1 year will begin on the date the client’s website would be uploaded.
- The SEO contract is for a total period of 1 year and is renewable on annual basis subject to agreement between the Client and the Technobyte Solutions.
- The 1year contractual period for the SEO services would commence from the time of meeting the 50% of key-phrases mandate.
- Search Engine Rankings normally take a minimum of 30 days to a maximum of 180 days to appear at the desired rankings, it is also a known fact that Search Engine Crawlers are beyond the control of individuals and/or organizations.
- The Technobyte Solutions would give a presentation each quarter to the Client management to keep them posted as to the developments on the site.
- Once a website has been designed and completed the final balance of payment is then due in accordance with our payment terms. There are no exceptions to this, i.e. if the client decides they no longer want the site, as they have commissioned the work and paid a deposit they are still obliged to pay for the work that has been done. Nonpayment will result in legal action being taken if necessary.
- In the unfortunate event of any disputes arising between the Client and the Technobyte Solutions, the matter would fall under the jurisdiction of Kolkata Court.
